TOKEN SCHEME CONTRACT TERMS AND CONDITIONS

1. H.E.S.H. Computer Services Ltd (H.E.S.H.) warrants that it will provide a maintenance service, within 8 working hours of the call for assistance, for the client's computer equipment and will charge one token per repair through to completion or up to one and a half hours on-site, whichever is reached first. Additional time will be charged at our current rates.

2. All parts used to effect a repair will be charged at RRP against the agreed parts deposit.

3. This service will be ongoing, until cancelled by either party with three months prior notice. On cancellation, the value of any tokens and the spares deposit outstanding will be repaid to the client.

4. An invoice will be raised for the agreed charges and payment is required prior to maintenance cover starting, unless otherwise agreed in writing. If invoices are not paid within the standard H.E.S.H. invoicing terms (payment within 30 days of invoice date), H.E.S.H. will have the option of treating the agreement as terminated and submit an invoice for any work carried out, at the then current rate of charges, plus a charge for all parts used for this work.

5. Repair calls to be made during normal business hours (9.00am - 5.00pm) Monday to Friday (bank holidays excepted), unless other arrangements are agreed in writing.

6. This service will not cover the following:
(i) The re-installation of operating systems, unless otherwise agreed in writing.
(ii) Service required due to incompatibility of hardware and software.

7. Services rendered will be carried out on the customers' own premises unless in the opinion of the H.E.S.H. technician the equipment needs to be removed to an H.E.S.H. workshop. The client agrees to allow H.E.S.H. representatives full and free access to the equipment and the necessary time for testing the equipment and any other equipment to which it is connected.

8. Under this contract, H.E.S.H. is not obliged to provide loan equipment in the event of a workshop repair being required. However, in the event of a prolonged failure, H.E.S.H. may supply temporary replacements if suitable equipment is available.

9. Save as to the warranty given in clause 1 above, H.E.S.H. will not be responsible for any direct, incidental or consequential damages either to the client or third parties, such as, but not limited to, the loss of profits resulting from the failure of equipment or the loss of data. It is your responsibility to ensure all important data is secure.

9. When the amount of unused tokens held drops to half the amount of the original commitment, an invoice will then be raised to cover the purchase of sufficient tokens to reinstate the original commitment and restore the parts deposit to the original value. A schedule of work carried out will accompany this invoice.

10. The construction and validity of these terms shall be governed by the laws of England.
